Q1Current position

What is THOM raising and what will the capital fund?

THOM is currently raising £3.25m in a single seed financing designed to fund the next major value-creation stage: independent validation, certification, product industrialisation, first reference projects and disciplined commercial launch. The round is structured at group level so capital can be deployed where it creates the greatest value across the core programme, GCC market entry and planned Nordic development.

Q2Current position

What investment instrument is proposed?

The current working structure is a Convertible note, with £15m valuation cap and a 20% conversion discount. The intention is to offer investors a clear entry point into the current value-creation stage while preserving flexibility ahead of a future priced round. Final maturity, interest, conversion mechanics and investor protections will be set out in the executed legal documentation.

Q3Current position

What exactly is THOM Smart Wall?

THOM Smart Wall is a modular aluminium Building Engineering Envelope™ system being developed for high-performance building-envelope applications. The product has progressed into a controlled working-product and industrialisation phase, with the next stage focused on independent validation, certification and commercial deployment. Initial market focus is deliberately concentrated on data centres and military/defence infrastructure, where the system’s design characteristics could create the greatest value, with broader industrial applications providing additional expansion potential.

Q4Internal evidence

What has actually been tested today?

THOM’s development programme has produced encouraging internal test and simulation results, giving management a strong basis for progressing into the independent validation phase. The next step is to translate those internal results into accredited evidence against the final production specification, creating the technical proof required for commercial adoption.

Q5Programme in progress

What independent test programme is proposed?

The current validation programme is designed to address the core technical evidence required for market entry, including reaction-to-fire classification under EN 13501-1, fire-resistance testing under EN 1364-1, accredited thermal validation, acoustic testing under ISO 10140, weathertightness and wind testing, with further application-specific workstreams added where needed. BRE has already provided the first accredited reaction-to-fire quotation, and additional quotations are being progressed.

Q6Current position

Why begin with data centres?

Data centres are an attractive entry market because they combine demanding thermal, fire, installation, logistics and envelope requirements with strong pressure on programme efficiency, energy performance and repeatability. These are precisely the areas where a lightweight modular engineered envelope could create measurable project value. The commercial strategy is therefore to validate THOM against the standards and procurement requirements that matter most to this sector and use early reference projects to accelerate adoption.

Q7Current position

Why is defence / military infrastructure a priority?

Defence and secure infrastructure are strategically relevant because weight, modularity, logistics, deployment flexibility and engineered envelope performance can have significant operational value. THOM’s architecture is well suited to being evaluated against those requirements. Market entry will be application-specific, with any specialist compliance, ballistic or RF/EM requirements addressed through the appropriate validation and procurement pathways.

Q8Current position

What is the GCC strategy?

The GCC strategy is to establish a focused regional platform around data centres, industrial and infrastructure applications, supported by local commercial capability and a scalable assembly model. UAE and Oman hub options are being evaluated so the business can move quickly once demand is validated. The near-term priority is to secure high-quality pilot and design-partner opportunities, build delivery capability and convert qualified demand into repeatable regional revenue.

Q9Commercial engagement

Do you have contracted customers today?

THOM is actively building commercial engagement ahead of launch, with the objective of converting qualified discussions into design-partner relationships, pilot opportunities, non-binding expressions of interest and ultimately contracted supply. The portal deliberately distinguishes those stages from booked revenue so investors can see the progression clearly. The current Early Access programme is designed to create exactly this type of market evidence ahead of commercial readiness.

Q10Legal completion pending

What entity will investors invest into?

The intended parent issuer is THOM Inc in the UK, which is being structured as the group-level investment and governance vehicle. The remaining formation and legal steps are being completed so the financing, IP ownership and regional operating entities can sit within a clean, investable group structure before execution of the investment instrument.

Q11Current position

How is governance being strengthened?

THOM is deliberately building institutional-grade operating discipline early. THOM OS brings together controlled product versions, claims governance, canonical corporate data, evidence-linked commercial records, risk management and group reporting into a single operating framework. The objective is to give management and investors a more transparent, auditable and scalable business than is typical at this stage.

Q12Adoption thesis

Why would customers switch from familiar incumbent systems?

Customers will switch when the evidence and economics are compelling. THOM is targeting applications where programme speed, thermal performance, structural burden, logistics and delivery risk are important enough to justify evaluating a better envelope solution. Independent evidence, credible partners and well-chosen pilot projects are intended to lower adoption friction and create a clear route from first trial to repeat deployment.

Q13Commercial validation in progress

What evidence is there that customers actually want this?

The investment case is supported by clear market pain points and an active programme to test customer pull ahead of launch. Data-centre, industrial and infrastructure buyers place high value on programme efficiency, envelope performance, labour productivity and predictable delivery. THOM’s current Early Access activity is designed to convert that relevance into meetings, design-partner discussions, non-binding expressions of interest, pilot opportunities and ultimately reference projects and contracted orders.
